This Metarise Terms of Service (“Agreement”) is entered into by and between Metarise (“we”, “us”, or “our”) and the individual or entity accessing and/or using the Services (“Customer” or “you”). This Agreement consists of the terms and conditions outlined below and any applicable Order Form. The “Effective Date” of this Agreement is the earlier of: (a) the date on which you first access the Services through an online sign-up, registration, or purchase process, or (b) the date specified in the first Order Form referencing this Agreement. This Agreement applies to both your initial use of the Services and any subsequent use of the Services.
By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
We may amend this Agreement from time to time as described in Section 13.4 (Amendments).
1.1 “Authorized Devices”: Devices (including mobile and desktop) authorized by Metarise for accessing the Services.
1.2 “Content”: All code, text, graphics, files, documents, or other materials uploaded, created, or imported into the Services by the Customer or its Users.
1.3 “Documentation”: Any technical, operational, or instructional materials made available by Metarise describing the use of the Services.
1.4 “Services”: Metarise’s proprietary tools, platforms, or products provided as software-as-a-service (SaaS), including web-based applications, APIs, and downloadable software.
1.5 “Order Form”: Any signed document or agreement specifying the details of the Customer’s subscription to the Services.
1.6 “Packages”: Additional components or features available within the Services, which may be provided by Metarise or third parties.
1.7 “User”: Any individual authorized by the Customer to access and use the Services.
2.1 Services License: Metarise grants the Customer a limited, non-exclusive, non-transferable license during the Term to:
(a) Use the Services and install any applicable software on Authorized Devices for internal business purposes;
(b) Access hosted systems, tools, and services provided as part of the SaaS offering.
